03 · TRADING ROUTES

Where is it traded and settled?

Ownership model and trading venue are separate axes. The rules and settlement path differ by route.

Existing national-exchange order books remain in place; a tokenization preference is sent to DTC after execution.

  • Same CUSIP, ticker, rights, order book and execution priority as the traditional security.
  • Tokenization is selected by an order-entry flag; DTC performs the post-trade tokenization workflow.
  • Important: DTC-Pilot exchange trades continue to settle T+1.
  • Initial eligible universe includes Russell 1000 constituents and major-index ETFs; launch awaits DTC readiness and exchange notices.

A conditional experimental route for permissioned AMM/liquidity pools that can operate outside the Exchange Act definition of “exchange” if all conditions are met.

  • Tier 1: up to 75 symbols and 0.25% of prior-month ADV; Tier 2: up to 250 symbols and 2.5%. Affiliate venues aggregate.
  • Third-party tokenization requires issuer notice and a 30-day waiting/objection process.
  • Public Notice at least 30 days before operation; 30 days of machine-readable transaction data updated within 10 minutes.
  • The relief covers Tokenized NMS Stock; synthetic exposure is excluded.

A new digital venue under development by NYSE/ICE. It should not be conflated with the DTC-Pilot rules used by the existing exchanges.

  • Targets 24/7 operation, stablecoin funding and immediate/on-chain settlement.

Outside national exchanges, tokenized securities can be offered through structures using existing securities law, registered intermediaries, custody and transfer agents.

04 · REALITY CHECK

Tokenization does not make everything 24/7 and instant

24/7 trading, atomic settlement, self-custody and fractionalization do not apply uniformly to every model.

Amended order for the ARK Venture Fund — permitting a tokenized share class

An exemptive order under the Investment Company Act of 1940 (Release No. 36333). It amends a prior order so the funds may now offer (i) a class of shares listed on a national securities exchange and (ii) a class of tokenized shares traded on one or more alternative trading systems or quoted on other quotation mediums. It is an order addressed to the applicant, not a market-wide rule.

How we got here (2017–2024)Tokenising shares is not a story of the last two years. It rests on groundwork laid under the names security tokens and digital securities.

The SEC publishes the “DAO Report” — a token can be a security

It held that a token generating returns can be a security, and that a security may trade only on an ATS or a national securities exchange. Alongside cleaning up the ICO boom, this is where the idea of a regulation-compliant “security token” began.

2019Implementation begins

The operating infrastructure starts moving inside the registration regime

Securitize filed Form TA-1 on 22 July and was approved on 31 July, becoming an SEC-registered transfer agent. Digital securities issued on its protocol could then trade on SEC-registered ATSs such as tZERO and Open Finance Network. tZERO had worked with regulators since 2015 and launched the first SEC-compliant ATS for blockchain assets.

2024Custody falls into place

tZERO obtains approval for custody of digital securities

It announced approval for custody, so that the full lifecycle of a digital security could be supported within the U.S. With issuance and trading already in place, custody completed the set and brought the stack closer to conventional securities infrastructure.
